Super Star Theater Terms of Use

1. Acceptance of the Website

By visiting Superstartheater.tv, also known as the Super Star Theater Website (Website), you agree to the Terms of Use (Terms) and Super Star Theater's Privacy Notice, found at http://www.Superstartheater.tv/t/privacy, and the Super Star Theater's Community Guidelines, found at http://www.superstartheater.tv/guidelines.php. If you do not agree, please do not use the Super Star Theater Website.
From time to time, these Terms may be modified at the sole discretion of Super Star Theater Changes to these Terms will be posted at http://www.Superstartheater.tv/terms. All changes to these Terms are binding. Also, these Terms do not confer third party rights or benefits.

2. Definitions

In all cases, unless specifically described otherwise, Website refers to Super Star Theater Website.
In all cases, unless specifically described otherwise, Terms refers to Terms of Use.
User Submitted Content includes videos, text and other information and materials that are submitted by users, account holders and others with the understanding that the content may or may not be published on the Website.

3. Ability to Accept Terms of Use

You affirm that you are 18 years of age or older, or an emancipated minor, or possess legal parental or guardian consent, and are competent to understand, enter and comply with these Terms. You also affirm that to upload User Submitted Content onto the Super Star Theater Website you are over the age of 13.

4. Super Star Theater Website

These Terms apply to all users of the Super Star Theater Website, including users who contribute video, text and other content to the Website. The Super Star Theater Website includes all aspects of Super Star Theater including the Super Star Theater Embeddable Player.
From time to time, the Super Star Theater Website may contain links to third party websites that are not owned or controlled by Super Star Theater Super Star Theater has no control over and assumes no responsibility for the content, privacy policies, or practices of any third party websites. In addition, Super Star Theater cannot alter or censor the content of third party websites which may be linked to the Super Star Theater Website.
It is understood that when you use the Website, Super Star Theater bears no responsibility for all liability arising from your use of a third party website. As such, it would be in your best interest to review the terms and privacy policies of all third party websites you access through the Super Star Theater Website.

5. Super Star Theater Accounts

In order to access some features of the Website, you must create a Super Star Theater account and password. When creating your account, you must provide truthful, accurate and complete information. You are solely responsible for the activity that occurs on your account. It is your responsibility to keep your account password secure. You must notify Super Star Theater immediately of security breaches or other unauthorized uses of your account.
You may never use the account or another user without permission of the user.
Super Star Theater will not be liable for your losses caused by unauthorized uses of your account. Further, you may be liable for the losses of Super Star Theater due to unauthorized uses of your account.

6. Permissions and Restrictions for Use of the Website

Under these Terms, Super Star Theater grants you permission to use the Website:

You agree not to distribute in any medium any part of the Website, including User Submitted Content, without written permission by Super Star Theater Further, you agree not to alter any part of the Website, including the Super Star Theater's Embeddable Player and its related technologies.
You agree not to access User Submitted Content or any other content found on the Website through any technology or means other than the video playback pages of the Website itself, the Super Star Theater Embeddable Player, or through any other means Super Star Theater may select or designate.
You agree that you will not use the Website, including the Super Star Theater Embeddable Player, for commercial purposes without written authorization of Super Star Theater Prohibited commercial uses include the following:
- Sale of access to the Website and Embeddable Player through a third party website.
- Use of the Website and Embeddable Player to generate revenue through advertising or subscriptions.
- Sale of advertising on the Website or any third party website through the use of User Submitted Content to the Super Star Theater Website or other Super Star Theater Website content.
- Any other use of the Website and Embeddable Player that Super Star Theater finds, in its belief, to be in competition with Super Star Theater.
If you use the Super Star Theater Embeddable Player on your website, you must include a link back to the Super Star Theater Website on the pages containing the Embeddable Player. Also, you may not modify or block the Embeddable Player in any way.
You agree not to use or launch any automated system, including robots, spiders or offline readers that access the Website in a manner that sends more request messages to the Super Star Theater servers than a human can reasonably produce in the same period by using a conventional on-line web browser.
Exceptions will be extended to the operators of public search engines who may use automated systems to copy materials from the Website for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. Super Star Theater reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect personally identifiable information, including account names, from the Website, nor to use comments or e-mail posted on the Website to solicit for commercial purposes, any users of the Website.
You will comply with all applicable local, national, and international laws and regulations.
Super Star Theater reserves the right to discontinue any aspect of the Website at any time.

7. Use of the Website

The following restrictions apply specifically to your use of content on the Super Star Theater Website.

The Website content—with the exception of submissions by you, which are defined below as User Submitted Content—includes text, software, scripts, graphics, photos, sounds, music, videos, trademarks, service marks and logos, and are all owned by or licensed to Super Star Theater, subject to copyright and other intellectual property rights under law. Content on the Website is provided for your personal use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes without written consent of Super Star Theater Also, Super Star Theater reserves all rights to the Website and its content not expressly granted in and to the Website and its content.
As a Super Star Theater account holder you may submit video and text content. Publication of video and text content on the Website will be at the discretion of Super Star Theater but all account holders should know that no guarantees of confidentiality will be extended to any submissions.
As a Super Star Theater account holder you may upload original videos to Super Star Theater, maintain an original channel on Super Star Theater to promote your business or artistic enterprise, use the Embeddable Player to show Super Star Theater videos on an ad-enabled blog or website, provided the primary purpose of using the Embeddable Player is not to gain advertising revenue or compete with Super Star Theater, and any other use that Super Star Theater authorizes in writing.
You are responsible for your own submissions and the consequences of publishing them on the Website. When you submit User Submitted Content for publication, it is understood that you have affirmed, represented and warranted that you own or have permission, rights, licenses and consent to authorize Super Star Theater to publish the User Submitted Content. Also, you have assigned permission to Super Star Theater to use all patents, trademarks, copyrights or other proprietary rights attached to the User Submitted Content. All User Submitted Content you submit will not be copyrighted or protected by other rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their owners to publish the material and grant Super Star Theater all licenses and rights. Super Star Theater does not permit copyright infringing activities and infringement of intellectual property rights on its Website.
Super Star Theater is not responsible for the accuracy, usefulness or safety of User Submitted Content and will not be a party to disputes over intellectual property rights of User Submitted Content. If disputes over the accuracy, usefulness or safety of User Submitted Content arise you agree to waive all legal or equitable rights and remedies you have or may have against Super Star Theater Further, you agree to indemnify and hold harmless Super Star Theater, its owners and staff members as well as affiliates and licensors, to the fullest extent allowed by law regarding all matters related to your use of the Website. Likewise, if disputes over intellectual property rights of User Submitted Content arise you agree to indemnify and hold harmless Super Star Theater, its owners and staff members as well as affiliates and licensors, to the fullest extent allowed by law regarding all matters related to your use of the Website.
You retain all ownership rights for User Submitted Content submitted to Super Star Theater.
Super Star Theater will pay no royalties for User Submitted Content published on the Website or for any other purpose Super Star Theater deems appropriate. In addition, you extend to Super Star Theater the rights to use the User Submitted Content and to license the use of the User Submitted Content to others for the purpose of promoting the Website in any media, including Internet-based, broadcast-based or print-based.
You also grant each user of the Super Star Theater Website a nonexclusive license to access your User Submitted Content and to make use of the User Submitted Content, including the observation, reproduction, distribution, display and performance of the User Submitted Content through the functions available through the Website. This permission will terminate within a reasonable time after you remove or delete your User Submitted Content from the Website. However, after you have removed the User Submitted Content from the Website, Super Star Theater retains the right to retain, but not display, the User Submitted Content after it has been deleted. This permission is perpetual and irrevocable.
Super Star Theater does not endorse any opinion, position, comment, advice or recommendation included in User Submitted Content. Also, Super Star Theater expressly disclaims any and all liability in connection with User Submitted Content. Further, Super Star Theater will remove all User Submitted Content when notified that such content infringes on another's intellectual property rights.
Super Star Theater reserves the right to remove all User Submitted Content without notice.
You may access User Submitted Content solely for informational purposes and personal use. Access to User Submitted Content may include Streaming. Streaming is defined as transmission of User Submitted Content over the Internet from the Super Star Theater Website to a user's device so that the content is made available for real-time viewing and not intended to be copied, downloaded or redistributed.
You agree to not engage in the use, copying, or distribution of any of the content for commercial purposes.
You agree not to circumvent, disable or interfere with security features of the Website or features that prevent or restrict use or copying of any content.
You agree to not take steps to restrict others from use of the Super Star Theater Website or its content.
O. You may access Super Star Theater and its content only as permitted under the Terms. Super Star Theater reserves all rights not expressly granted in these Terms.

8. Account Termination Policy

Super Star Theater will terminate your account to the Website if, under the sole discretion of Super Star Theater, you are found to be in violation of these Terms or have otherwise infringed on the rights of Super Star Theater.
It will be under the sole discretion of Super Star Theater to determine whether the User Submitted Content is appropriate and complies with these Terms. Among the reasons Super Star Theater may find the content inappropriate are violations of copyright and other intellectual property statutes, pornographic content, and the display of obscene, violent or defamatory material. See Superstar Theater Community Guidelines for a fuller explanation of what Super Star Theater regards as inappropriate content.
Super Star Theater may remove or block such User Submitted Content, refuse to publish such content, remove such content from the Website without notice and at the sole discretion of Super Star Theater
Super Star Theater may terminate an account, access by an account holder or other user, at any time, without prior notice and at its sole discretion.

9. Adherence to the Digital Millennium Copyright Act

If you are a copyright owner or an agent of a copyright owner and believe that any User Submitted Content infringes on your copyrights, you may submit a notification under the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

The physical signature or electronic signature of a person authorized to act on behalf of the owner of an exclusive right on which Super Star Theater has allegedly infringed.
Identification of the copyrighted work claimed in question. If multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
Identification of the material that is alleged to be infringing on the copyrighted work.
The names, addresses, telephone numbers, e-mail addresses and any other relevant contact information of the copyright owners or the agents of the copyright owners.
A statement of your belief that use of the material is not authorized under the laws governing your copyright.
A statement that the information in the notification is accurate. If you are the agent for the copyright owner, the statement shall include an affirmation that you are authorized to act on behalf of the owner.

B. Super Star Theater's designated agent to receive notifications of claimed infringement on copyright is Super Star Theater, Inc., 100 Mechanics Street, Doylestown, PA 18901, email: cm@lisaleleustudios.com. You acknowledge that if you fail to comply with all of the requirements of this section your DMCA notice may not be valid.
C. Rights of Users to Prove Authority to Provide User Submitted Content. If you have provided User Submitted Content that is removed from the Website or otherwise blocked or deleted because of a copyright dispute, you may offer proof of your authority to submit the content through the submission of a counter notice. The counter notice must include the following information:

Your physical or electronic signature.
Identification of the content in dispute.
A statement setting forth the reasons you believe you hold authority to submit the User Submitted Content.
Your name, address, telephone number and e-mail address.
A statement that you consent to the jurisdiction of the federal courts of the United States of America and that you will accept service of process from the person who provided notification of the alleged copyright infringement.

Super Star Theater reserves the right to make copies of your counter notice available to the complaining parties informing them that it may replace the removed User Submitted Content within 10 business days. Unless the copyright owner obtains court-ordered injunctive relief against reposting the disputed content, it will be at the sole discretion of Super Star Theater to restore, in 10 to 14 business days, the disputed content to the Website.

10. Disclaimer of Warranties

You agree that your use of the Super Star Theater Website shall be at your own risk. Officers, employees, directors and agents of Super Star Theater disclaim all guarantees, expressly stated or implied, regarding the Website and your use of the Website. Super Star Theater makes no guarantees or representations about the accuracy of the Website's content or the content of any sites linked to this site and assumes no liability or responsibility for errors or inaccuracies of content and personal injury or property damage resulting from your use of the Website. Also, Super Star Theater takes no responsibility for unauthorized use of secure servers, including all personal and financial information stored on the servers.
Further, Super Star Theater takes no responsibility for interruption of transmission to or from the Website or the transmission of bugs, viruses or trojan horses that may be transmitted through the Website by any third party. Super Star Theater takes no responsibility for errors or omissions in any content or for loss and damage of any kind incurred as a result of the use of content posted, e-mailed, transmitted, or otherwise made available through the Website.
Super Star Theater does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised by a third party through the Website or any hyperlinked website or featured in advertising on the Website. Super Star Theater will not be a party to or monitor transactions between you and third party providers of products or services that may be advertised on the Website.

11. Limitation of Liabilities

No officers, directors, employees or agents of Super Star Theater is liable to you for direct, indirect, incidental, special, punitive or any other damages resulting from errors, mistakes or inaccuracies of content; interruption of transmission to or from the Website; transmission of bugs, viruses and trojan horses through the Website by third parties; personal injury or property damage resulting from your use of the Website; unauthorized use of secure servers that would disclose personal and financial information stored on the Website, and all errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, e-mailed, transmitted, or otherwise made available through the Website.
Super Star Theater shall not be liable for defamatory, offensive or illegal conduct of third parties.
Super Star Theater has made the Website available for Internet access from its headquarters in the United States of America in compliance with all laws of the United States of America. Super Star Theater makes no representations that the Website complies with laws in any other country. Users who access the Website outside the United States do so at their own risk and are responsible for any legal consequences in the countries in which they initiate access.

12. Indemnity

You agree to defend, indemnify and hold harmless Super Star Theater, its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses including attorney's fees arising from your use of the Website and your violation of any of these Terms, and your violation of any third party right that may cover copyright, property, or privacy right, or any other incident or occasion when your User Submitted Content would cause damage to a third party.
Your obligation to defend and indemnify Super Star Theater will survive these terms and the life of the Website.

13. Assignment

These Terms may not be transferred or assigned by you to a third party, but may be assigned by Super Star Theater without restriction.

14. General

Super Star Theater Website is based in Pennsylvania. The Website is a passive website that does not give rise to personal jurisdiction over Super Star Theater, either specific or general, in jurisdictions other than Pennsylvania. These Terms shall be governed by the appropriate laws of the Commonwealth of Pennsylvania. Any claim or dispute between you and Super Star Theater that arises from the Super Star Theater Website shall be decided exclusively by the Court of Common Pleas of Bucks County, Pennsylvania.
These Terms, together with the Privacy Notice at http://www.Superstartheater.tv/t/privacy and any other legal notices published by Super Star Theater on the Website, shall constitute the entire agreement between you and Super Star Theater concerning the Super Star Theater Website.
If any provision of these Terms is deemed invalid by a court of law (notwithstanding appeal rights), the invalidity of the provision shall not invalidate the remaining provisions of these Terms. Further, no waiver of any specific term or terms within the full body of Terms shall constitute a waiver of any term contained herein.
Super Star Theater's failure to assert rights or provisions under these Terms shall not constitute a waiver of such rights or provisions.
Super Star Theater reserves the right to amend these Terms at any time and without notice. Your use of the Super Star Theater Website following any amendment of these Terms will signify your acceptance of the revised terms.
Super Star Theater agrees that any cause of action arising out of or related to the Super Star Theater Website must commence within one (1) year after the alleged cause of action occurs. Otherwise, the cause of action is permanently barred.
